Subject: Berjaya Group Bhd share register
I have been informed by the share registrars for the above,
Berjaya
Registration Services, upon a request under Sections 159
and 160 of the
Company's Act 1965, that:
1) The company has only 5 (five) registered shareholders;
2) The largest shareholder is the Malaysian Central Depository
3) That I will have to pay a fee to view the register of
members held
at the MCD, over and above that required under the Act.
The above is clearly in breach of the Act and the KLSE's
listing rules.
In relation to points 2) and 3), you will remember that
a public company
must have at least 50 shareholders; and that a listed
company must have
at
least 25% of it's shares held by members of the public.
The statements above have been made by the company concerned.
I
respectfully
submit that the KLSE NOT try to find an explanation on
the company's
behalf.
The statements were communicated to me by the company secretary,
BGroup,
via
Vincent Lim and Kan Keong Foo of Berjaya Registration
Services.
In view of the conversation I have already had with your
Janet Tan, of
Listings, which I have reported to you verbally, I request
that immediate
action be taken to remedy the situation.
Should I fail to hear from you within the next 24 hours,
I shall have to
assume, in light of the conversation refered to above,
that the KLSE is
involved in some form of cover-up.
I must also add that a request to the company concerned
to "sort out"
the matter with me personally, as was the case in my earlier
query on Litrak Bhd, will under the circumstances , be
viewed with
further
suspicion. I must add that your treatment of my Litrak
query lacked the
professionalism,and propriety, that the KLSE says it posses.
